Corporate Counsel The candidate will be responsible for hands-on, practical advice to such teams and the corporate organization. Will report to the Vice President, Corporate Legal. Help structure, draft and negotiate complex transaction documents and participate in global cross-functional teams to execute transactions. Manage internal and external deal processes and drive continuous improvement and scalability in deal process and execution. Work on deal teams with other in-house attorneys and constituents and outside advisors on complex transactions. Work as a team member evaluating, advising on and handling corporate securities and SEC reporting and compliance matters (including annual reports, proxy statements and other current and periodic reports); treasury activities (including corporate finance transactions); and corporate governance matters (including Board and Board Committees support and subsidiary governance/maintenance). Work collaboratively with Corporate Development, Finance, Human Resources and Marketing functions. Must have 7+ years of hands-on public company experience. Must have Juris Doctorate degree and undergraduate degrees with excellent academic credentials. Must have 7+ years of experience in a law firm and corporate in-house environment with a sophisticated corporate, M&A, securities, finance and corporate governance background. Substantial experience in M&A transactions (domestic and cross-border), with a strong understanding of M&A structures, documents, and related issues is essential. Strong experience in securities law and SEC reporting, equity compensation, equity investments, corporate finance, and corporate governance matters is essential. Must have excellent interpersonal, written and oral communications skills.
