A law firm in Seattle, WA is seeking a Mid-Level Corporate M&A Associate Attorney with 3-4 years of experience at a leading corporate firm. The ideal candidate must be an active member of the Bar in the jurisdiction they will be working, with superior academic credentials, excellent oral, written, and interpersonal skills. Experience with or affinity for technology and/or life sciences companies is considered advantageous.

Duties:

• Conducting due diligence reviews for M&A transactions.
• Drafting and negotiating transactional documents such as merger agreements, stock purchase agreements, and ancillary documents.
• Providing advice on corporate governance matters.
• Assisting with financing transactions related to M&A deals.
• Collaborating with interdisciplinary teams including tax, regulatory, and employment attorneys.
• Managing and coordinating transaction closings and post-closing activities.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Active Bar membership in Washington state or eligibility to sit for the next Washington Bar exam.
• 3-4 years of experience in mergers and acquisitions at a reputable corporate law firm.
• Strong understanding of corporate law principles and M&A transactional processes.
• Exceptional drafting, negotiation, and analytical skills.
• Ability to work collaboratively in a team environment and manage multiple priorities.

Preferred Skills:

• Experience with technology and/or life sciences sectors.
• Familiarity with securities laws and regulations.
• Ability to thrive in a fast-paced and challenging work environment.
