Legal Business Facing Lawyer The candidate will support the Private Placements distribution channel of AMG with day to day legal support including support for High Net Worth private placement transactions, drafting, negotiating and advising on the terms and conditions of participation agreements, investment management agreements, limited partnership and subscription agreements and private placement offering memoranda and distribution related agreements. Will assist in the due diligence processes associated with on-boarding new insurance dedicated funds, advise, support and, when called upon, actively participate in the NAL Investment Management Committee process with respect to the investment fund option approval process. Supervise external counsel, as appropriate. Support the independent financial advisor (IFA) distribution channel of AMG with day to day legal support regarding product development, distribution, underwriting and claims advice and counsel. Support the MBF distribution channel of NAL with day to day legal support including support for new business BOLI private placement transactions, drafting, negotiating and advising on the terms and conditions of participation agreements, investment management agreements, limited partnership and subscription agreements and private placement offering memoranda and distribution related agreements. Assist in the due diligence processes associated with on-boarding new insurance dedicated funds, advise, support and, when called upon, actively participate in the NAL Investment Management Committee process with respect to the investment fund option approval process. Supervise external counsel, as appropriate. Support NAL’s legacy businesses (BOLI and the Destinations variable annuity blocks) with day to day legal support as well as transaction restructurings and participation in risk mitigation projects. Provide advice and counsel on all regulatory and compliance issues associated with the NAL businesses described above, including advice regarding insurance, securities, investment and tax law issues and concerns. Partner with Compliance, Tax, Risk Management and Audit, as appropriate, to support appropriate risk management and mitigation activities. Apply legal function strategy for structuring, negotiating and resolving local legal issues of corporate transactions to enable the transaction while protecting firm’s assets. In collaboration with the Compliance, Risk Management and Tax, provide legal advice to address and manage local legal issues and regulatory requirements in relation to a proposed business transaction. Guide the business in relation to insurance laws and regulation along the business value chain, from licensing, product development through to re-insurance, thereby supporting the business to achieve its strategic and commercial goals. Support the development by management of open and transparent relationships with insurance regulators consistent with the organizational values and compliant with the spirit and the letter of the law. Actively monitor and report on legal trends and laws allowing for timely anticipation of new requirements and their potential impact on the organization as well as the preparation of appropriate responses. Keep abreast of industry developments and actively monitor legal trends, so as to anticipate the business impact of regulatory changes, prepare appropriate responses and support the business in defining actions as seen fit. Support internal stakeholders to further the comprehension of the functional mandates and ensure functional involvement in matters of relevance. In conjunction with line manager, contribute towards the organization and delivery of functional projects within the defined scope and time frame and in accordance with agreed cost and quality targets to deliver the define project value add.
Qualification and Experience
The candidate should have JD degree and Member of the Bar and 6+ years client facing legal experience, Experience with LEXIS/NEXIS and Westlaw. Insurance industry experience is preferred. Strong verbal, written and presentation skill is preferred.
