Corporate Counsel The Candidate will be responsible for Drafting and advising on filings with the SEC, including the Company’s quarterly and annual reports and proxy, and other periodic and current reports. Providing legal advice to ensure compliance with SEC, New York Stock Exchange and NASDAQ requirements, as well as any applicable requirements under the Sarbanes-Oxley Act and the Dodd-Frank Act and proxy advisory firm guidelines. Preparing Section 16 and Rule 144 filings and advising executive officers and directors with respect to the same.Managing the Company’s insider trading policy and trading black-out periods. Counseling on banking agreements, securities transactions and other finance matters. Providing legal counsel on a diverse range of matters related to day-to-day corporate governance and operations of the Company, and supporting senior management and various departments, including finance and human resources. Supporting the Board of Directors and Corporate Secretary and acting as a liaison for the Board and its Committees’ interaction with Company management.
Qualification and Experience
The candidate should have Undergraduate degree; J.D. degree from accredited law school combined with distinguished law school record. Admission to Connecticut Bar or New York Bar with eligibility for licensing in Connecticut as In-House Counsel. Knowledge of Delaware General Corporation Law required. Must have 4-7 years of experience advising on U.S. public company matters, federal securities laws and corporate governance. Excellent written and oral communication skills, and flexibility and ability to work with fast-changing priorities. Good judgment, a high level of professional integrity and discretion, tact, and ability to maintain confidentiality. Familiarity with financial statements and comfort with discussing underlying financial statement concepts. Familiarity with ESG, sustainability and diversity as they relate to corporate governance.
