Vice President and General Counsel Roles and Responsibilities: Serve as a strategic thought partner, legal advisor, and team member to Stay Alfred regarding real estate, land use, and regulatory compliance as well as business strategy, risk management, and human capital. Lead the company's Legal team to effectively serve the organization’s needs, including the development of templates and client-facing materials to drive greater internal efficiencies for legal and business teams. Structure, draft, and review a wide variety of contracts and agreements across a growing domestic portfolio, and involvement in the negotiation of master lease agreements. Understand and identify trends in the federal, state and local legislative and regulatory landscape affecting the short-term-rental and hospitality market. Provide legal advice and support for corporate financing transactions (debt and equity), stock option and benefit plans, corporate governance, M&A, commercial transactions, IP licensing, and international business. Help lead the acquisition of new businesses, including participating in due diligence reviews and negotiations of pertinent agreements. Manage relationships with external subject matter experts and outside counsel. Proactively and creatively evaluate risk factors impacting business decisions and anticipate changes that could impact the company.
Qualification and Experience
The candidate should have J.D. degree and membership in a least one U.S. state bar. Should have 7+ years of legal experience in the commercial real estate, technology and/or e-commerce industries. Experience in real estate master residential leasing, permitting, zoning, financing, acquisitions, dispositions, development, and financing. Experience assisting companies with raising capital (debt & equity). Demonstrated ability to work with and manage outside counsel and deal with internal clients at many different levels within an organization. Demonstrated ability to build and lead a high-performance team. Demonstrated ability to thrive in situations where complex issues require in-depth analysis, evaluation, and partnership to achieve positive outcomes.
