ABOUT THE ROLE
The Counsel for Commercial Contracts is responsible for the legal analysis and management of contractual agreements with outside parties including customers, suppliers, contractors, consultants and partners. This includes organizing, preparing, examining, analyzing, negotiating, and revising customer contracts (master service agreements, service level agreements, construction agreements, license agreements, etc.); procurement contracts (involving the purchase or sale of goods or services such as equipment, materials, supplies); and other agreements as appropriate.

  • Independently analyzes contractual requirements and applies knowledge of company policies and procedures to formulate feasible strategies for efficient contract management and risk mitigation.
  • Prepare and disseminate pertinent information from each contract to appropriate stakeholders, facilitate contract meetings, act as key point of contact for any questions/needs regarding contracts.
  • Develop and administer a supplier/contractor risk management program interfacing with external insurance professionals as required
  • Develop and maintain a contract management system (Oracle Fusion) that will serve as an accessible repository for each contract’s major commercial terms and conditions, changes / deviations, amendments, payment schedules, key contractual milestones, etc. and the mechanism through which the company can track, aggregate, analyze and report necessary information to internal and external parties as well as timely follow-up on items including key milestones, notifications, commencement and expiration dates.
  • Develop and direct a commercial risk assessment procedure.
  • Develop and administer standard contract templates including service level agreements, master service agreements, license agreements, construction agreements, statements of work, non-disclosure agreements, blanket/master purchase agreements, etc..
  • Review new agreements to ensure key terms and conditions are incorporated and liaise with outside legal counsel as appropriate in the review and final approval of contracts and renewals.
  • Contribute to negotiations as liaison between internal and external personnel in discussions on key contract terms, conditions, and pricing as required.
  • Provide contract summaries and ensure contract execution in accordance with company policy.
  • Track, aggregate, analyze and report necessary information to internal and external parties as well as timely follow-up on items including key milestones, notifications, commencement, and expiration dates of agreements.

 ABOUT YOU 

  • US. J.D. required
  • Must be a member of the NY state bar
  • 4 – 6 years of related contract administration experience
  • Excellent vendor contract negotiation skills, in addition to experience drafting and negotiating a broad range of commercial contracts, including but not limited to contracts for internal stakeholders in sales/business development, procurement, marketing, product development, human resources, licensing technology, and finance
  • Ability to revise agreements, propose strategic language, and negotiate with opposing counsel
  • Strong time management and organizational skills
  • Proven advanced analytical skills
  • Ability to think and work independently and solve problems under limited direction
  • Proven ability to interpret and apply complex legal / commercial language and effectively communicate to internal parties
  • Excellent business partnering skills and ability to effectively communicate (orally and written) with managers, internal clients, customers and vendors, colleagues and support staff
  • Proactive, self-starter who takes ownership of daily responsibilities and projects and influences others across the business to ensure objectives are met
  • Proven experience and a firm understanding of drafting and executing contracts
  • Ability to quickly assess complicated contract and vendor situations and articulate specific recommendations based on facts, the law and first-hand experience
  • Strong work ethic and high level of responsiveness to competing deadlines
  • Good sense of judgment and practical business mind to balance legal and business considerations to obtain practical solutions and business-oriented results
  • The ability to provide pragmatic day-to-day and strategic advice to minimize legal risks while advancing business goals and initiatives
  • Extensive background in transactions with service providers/vendors, drafting agreements, intellectual property with a solid understanding of information security and data privacy laws
  • Experience counselling organizations and assisting in developing strategic solutions, with a track record of building business relationships and gaining trust of internal clients
  • Excellent written and verbal communication, interpersonal, and negotiation skills are all part of your repertoire
  • Experience with identifying, implementing and managing a contract management system is preferred
