Director, Legal and Business Affairs The candidate will assist with the development, implementation, maintenance and monitoring of firm legal compliance program. Research compliance issues, conduct compliance training, perform and coordinate compliance due diligence on company vendors, agents, and other partners. Develop and disseminate guidelines implementing the companyâ€™s compliance policies and procedures. Coordinate with internal and outside counsel, as needed. Develop and maintain documentation. Prepare written reports and briefings for executives. Draft, review, negotiate and advise on a variety of licensing agreements and other contracts related to firmâ€™s non-Channels/non-television businesses, including, publishing, consumer products and experiences, travel and digital. Provide practical legal advice and support on business matters in a fast-paced environment. Maintain a high level of professionalism and outstanding business judgment and an innovative approach to legal issues in support of strategic business initiatives and objectives. Assist with the development, implementation, maintenance and monitoring of firmâ€™s legal compliance program. Drafting, reviewing, and analyzing contracts related to non-Channels businesses. Provide support on other matters as assigned by senior members of Business and Legal Affairs. Must have JD degree and active member of a Bar. Should have 2+ years of prior transactional experience at a firm or as in-house counsel, including experience in drafting licensing agreements. Strong interpersonal skills (multi-cultural/ written/verbal/negotiation) is required. Familiarity with Word, Adobe and Excel is needed. Familiarity with the U.S. Foreign Corrupt Practices Act and U.S. sanctions laws and regulations is preferred. Familiarity with entertainment or news media industry is must.
