Senior Merger & Acquisition Counsel
Responsibilities: Negotiating and drafting non-disclosure agreements and letters of intent; Reviewing advisor engagement letters and auction process letters; Advising on deal structure; Working collaboratively with internal Finance, Accounting, Tax, Treasury, Legal, and HR teams on all aspects of a deal; Managing and conducting legal due diligence and helping to coordinate broader diligence activities across the acquisition team; Negotiating and drafting the purchase and sale agreement and ancillary agreements; Assisting with internal approval processes and documentation; Drafting and negotiating closing documents, overseeing closings, and assisting with post-closing actions and integration planning; Managing outside counsel where appropriate for specialized diligence reviews and other unique deal issues and considerations; Supporting the integration of newly acquired entities into the company; Tracking performance of M&A deals and efficacy of deal terms (such as earn-out arrangements) over time to identify continuous improvement opportunities; and Partnering with corporate development on overall M&A process, including developing templates and providing education to the business.

Qualification and Experience

Qualifications: JD Degree. 10-15 years of legal experience, although outstanding candidates on either side of this range will be considered; Substantial transactional experience, including M&A expertise gained at a national law firm; Skilled at drafting and negotiating a variety of complex corporate, transactional, and commercial agreements and arrangements, including venture capital investments; Strong analytical ability together with reliably sound business judgment and a balanced approach to risk mitigation; Independent and solution-oriented attorney with the ability to manage multiple ongoing responsibilities and to context-shift across a variety of substantive areas on a daily basis. Superior written and verbal communication skills and a demonstrated ability to clearly and accurately explain complex legal issues to a non-legal audience; Able to successfully prioritize and manage multiple, high-priority matters across a range of business and legal areas while maintaining top quality deliverables; Strong interpersonal and leadership skills and the ability to foster relationships and work effectively with individuals at all levels and across all geographies of the organization; Able to work independently, take ownership and be accountable for results; Highly adaptable and resilient in the face of challenges and change; and able to balance need for process in a public company with an entrepreneurial culture; An enthusiastic and passionate self-starter with a can-do, results-oriented attitude; Willing to roll up your sleeves and participate in all aspects of a transaction; High energy level, with a sense of urgency to achieve stated business goals; Open to feedback and a good listener; and Committed in all cases to the highest professional and ethical standards.
