Key Responsibilities:

  • Represent lenders and borrowers in commercial finance transactions, including real estate finance deals.
  • Draft, review, and negotiate loan agreements, security agreements, and other transactional documents.
  • Conduct due diligence and manage the preparation and review of closing documents.
  • Provide legal advice on financing structures, terms, and compliance with regulatory requirements.
  • Participate in transaction structuring and strategy discussions.
  • Communicate with clients, opposing counsel, and other stakeholders effectively.
  • Manage case files, including organizing evidence and maintaining accurate records.
  • Assist in resolving any issues or disputes that arise during transactions.

Requirements:

  • 2-5 years of experience in commercial finance, with a focus on representing lenders and borrowers.
  • Experience in real estate finance transactions is preferred.
  • Strong academic record and a track record of professional excellence.
  • Excellent written and oral communication skills.
  • Ability to handle complex transactions and manage multiple projects simultaneously.
  • Detail-oriented with strong analytical and problem-solving skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership in the state where the firm operates.

Skills:

  • Proficient in drafting and negotiating commercial finance documents.
  • Strong legal research and analytical skills.
  • Excellent client service and communication abilities.
  • Ability to work independently and as part of a team.
