Corporate Paralegal Duties: Perform research relating to securities, Blue Sky, and corporate laws. Assist with coordination of Blue Sky qualifications and exemptions for public and private offerings, including preparation and filing of documents, communication with securities examiners, and participation in the resolution of issues. Assist in the preparation and filing of Form D’s and SEC insider reports for Section 16 reports and Section 13 filings. Prepare corporate and LLC entity formation and governing documents, stock certificates and ledgers, and maintain corporate record books. Assist clients with annual report, corporate maintenance, and other filings. Prepare drafts of agreements, certificates, and closing documents. Prepare checklists of closing documents, confirm receipt of all signatures, and prepare PDFs of executed documents. Assist with Secretary of State filings including entity formation, foreign qualifications, DBA and mergers. Assist in preparation and filing of NYSE and NASDAQ listing applications. Summarize UCC and lien search results.

Qualification and Experience

Qualifications: Bachelor’s degree or completion of a paralegal program. 3-5 years of experience as a paralegal in the Corporate area and/or similar work experience. An understanding and knowledge of Corporate and/or Blue Sky procedures including, document analysis, legal concepts and strategies, factual and legal research, preparation of drafts and markups of closing documents and/or drafts of responses to comments from state agencies relating to filings. The ability to recognize problem areas with Corporate and/or Blue Sky filings. Strong verbal and written communication skills. Strong attention to detail and organizational skills. The ability to work both independently and as part of a team. Proficiency in MS Word, Excel and PDF. Knowledge of ethical boundaries of position and when to consult with attorney. Knowledge of Section 16 filings is preferred. Knowledge of Minnesota and Delaware corporate law is preferred.
