ProfileParalegal Duties: Working with faculty, students and clients in new Entrepreneurial clinic, the corporate paralegal will handle transactional matters in all stages of corporate transactions with preparation of documents necessary to comply with federal, state and local regulations and ensure that filings are complete. Will work on a full spectrum of corporate legal matters, including maintenance of corporate and contractual records, securities filings, document management, corporate resolutions, entity maintenance, regulatory compliance and reviewing and drafting contracts. Assist in preparing documents required to form, maintain and dissolve business entities. Support lawyers in preparing SEC filings and other security filings. Assist in preparing and closing various corporate and real estate transactions, including financing. Create and maintain corporate minute books for clients and and electronic and paper file of corporate records. Prepare stock certificates. Prepare UCC filings. Assist in preparing, reviewing, revising, redlining, organizing and finalizing corporate/transactional documents, including contracts, resolutions and filings. Assist in securing signatures on contracts, power of attorney forms, assignments and declarations. Assist with client intake and maintaining client files and records. Track client expenses and manage invoicing. Perform clerical and general office duties such as preparing reports and correspondence requiring knowledge of legal terminology. Assist with workshops and other events for the public. Assist with travel arrangements for clinic staff. Update social media and website. Position will also support non-corporate legal clinics with similar client-based duties. Performs legal, statistical, documentary, factual, and records research. Identifies relevant judicial decisions, statutes, legal articles, codes and other pertinent material; reviews and monitors new and updated regulations. Organizes, analyzes, cross-checks and validates information. Drafts legal documents including contracts and legal agreements using templates. Checks legal forms and documents for accuracy. Maintains law library. Co-ordinates law office activities such as subpoena response, diligence production/review. Locates and communicates with witnesses. Interacts with clients, counterparties and other University departments. Summarizes agreements, documents, depositions, interrogatories, and testimony. Attends real estate closings, depositions, court or administrative hearings and trials with the attorney. Authors and signs correspondence that do not contain independent legal opinions or legal advice. Maintains reference/client files, organizes and tracks case and governmental files.
Qualification and Experience
Qualifications: Bachelor’s degree and 2 years of related experience or the equivalent combination of education and experience. Paralegal certificate preferred. Excellent attention to detail, coordination of multiple projects and an ability to work individually on a projects and on multiple projects concurrently or in a team environment. High level of initiative and ability to work independently. Ability to take personal responsibility/ownership of complex workload. Strong knowledge and ability with Microsoft Office Suite, filing services such as CSC or CT and EFD. Knowledge of managing website and social media accounts. Proven problem solving skills. Strong communication and organizational skills. Ability to demonstrate complete discretion and work with confidential information. Demonstrate positive, pro-active and professional attitude. Ability to work well as part of a team, and to teach others regarding policies and associated processes. Excellent proofreading skills.
