Vice President - General Counsel Duties: Participating as a senior member of management, working directly with the executive team to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations. Consulting with senior management in the presentation of strategic initiatives to the Executive Committee and/or Board and implementing such initiatives as adopted by the Board. Oversight and leadership of the day-to-day operations of legal representation of the Company; managing, evaluating and guiding an 8-person team comprised of 3 dedicated in-house attorneys as well as an experienced staff of paralegals and legal secretaries. Providing advice on developing, implementing and managing a strategic plan for the provision of legal services, in accordance with and in support of, business objectives to include the selection and management of outside counsel. Negotiating, drafting and implementing a wide variety of complex, multi-party agreements, including real estate development, joint venture, acquisition and disposition documents. Advising the company on litigation and other legal risks of possible business decisions, providing preventive counseling associated with standard business practices and specific business transactions. Developing strategies with both inside and outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements, where appropriate), and cost-effectively managing the resources required to address such matters. Monitoring the current legal landscape to continually update the company on pending legal cases and proposed legislation as applicable to the real estate industry including, landlord/tenant law (both commercial and residential) and California Environmental Quality Act (CEQA) law and regulations. Participating as part of a special strategic initiative to restructure the corporate organization to enhance the operations through future generations. Emphasis and focus will be from both the ownership and day-to-day management standpoint. In-depth knowledge of and familiarity with a variety of private entity structures especially limited liability companies and corporate structures. Significant real estate transactional experience over a wide range of real estate related projects including, without limitation, development, acquisition, disposition, leasing, construction, entitlement, and financing.

Qualification and Experience

Qualifications: JD Degree or Bachelor of Law Degree from an accredited law school Real Estate industry background and experience required. 12-15+ years of legal experience gained through a combination of major law firm experience and in-house experience as a general counsel or senior managing in-house counsel. Comprehensive skill and experience in drafting complex real estate contracts and agreements. Experience with compliance-related issues and demonstrated ability to work with regulations impacting real estate and real estate development (and with regulators that administer such regulations). Significant knowledge and experience with the entitlement and development process for single family, multi-family, retail, and industrial real estate projects. The ability to develop and implement strategy, in partnership with outside counsel as appropriate, to effectively address complex litigation and regulatory inquiries. Excellent interpersonal skills and the ability to communicate and interact effectively at all levels of the organization; requiring judgment and self-confidence but also respect for others, regardless of position, and the willingness to work as a team member. Personal credibility and the ability to articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood by management and personnel at all levels. Strong negotiation, communication, organizational, and people management skills and the ability to influence and build relationships collaboratively, without direct authority.
