Senior Paralegal The candidate will be responsible for: Assisting the Company's Legal Department in managing all aspects of its corporate practice, including the coordination of, and preparation for, board meetings, support for merger and acquisition transactions, maintenance of corporate records, preparation of securities filings and compliance with corporate governance requirements and policies. Maintaining and updating records, forms and other documentation, and supporting legal document repository management and maintenance. Assisting the Company's Legal Department in managing all aspects of its corporate global intellectual property portfolio, including interfacing directly with internal and external legal counsel to facilitate IP related actions as directed by counsel, and maintaining and refining IP portfolio management tools. Interfacing directly and daily with legal counsel and leadership and management teams in connection with corporate transactions, sales, and operations-related contracts,(UCC filings...). Drafting and vetting of various types of operational legal documents, such as non-disclosure agreements, and commercial agreements including, procurement, sales, licensing and other agreements. Interfacing directly with business units and attorneys to facilitate legal review and advice to assist business management in making legally sound business decisions, especially around online marketing and consumer law. Creating training toolkits and delivering training to the business on relevant processes. Acting as a liaison with designated outside counsel and their paralegal staff. Tracking hourly charges from outside counsel and level of outside counsel expertise on legal projects. Providing due diligence support and data room management in connection with corporate initiatives and strategic transactions. Managing and implementing litigation holds and assisting attorneys in support of litigation matters. Working collaboratively with a highly-motivated team within a fast-paced company. Must have 5+ years of paralegal experience. B.A. or equivalent experience is essential. Should have strong research, analytical and problem solving skills. Project management skills preferred. Should have experience and/or desire to learn corporate Intellectual Property and corporate governance matters. Litigation support experience is a plus. Corporate and international experience is a plus. Spoken and written foreign language is a plus.
