In-house Counsel The candidate will report to the Chief Operating Officer. Will review and negotiate contracts and other legal documents. Offer opinions and advice on in-house transactions. Advise management with respect to legal issues related to the development and implementation of Fund's business strategy, corporate governance, management and compliance policies, exempt organization laws, tax/corporate filings, conflict of interest policies, labor and employment laws, corporate structure, privacy and data security. Review, update and assure compliance with corporate documents, including: the Employee Handbook, Record Retention Policy, Acceptable Use Policy, and other management policies and practices. Select and supervise pro bono and paid outside counsel who advise and assist on corporate legal matters. Assist the CEO with Board policies, legal issues relating to corporate governance, and other legal matters. Assure that Fund's intellectual property is protected. Consider and advise on insurance matters. Assure compliance with the legal limits on lobbying and the prohibition on participating in political campaigns. Issue and manage Litigation Holds and Releases, as needed. Assist with HR issues, as requested or needed. Assure compliance with truth in advertising laws, consumer regulatory laws and fair use, as well as copyright, trademark and defamation laws. Assure compliance with the various laws governing charitable solicitations, planned giving, restricted gifts, in-kind gifts, grants, raffles, in-house contributions, and other fundraising matters. Oversee probate of estates in which Fund is a beneficiary. Research unique legal issues impacting Fund by identifying applicable statutes, judicial decisions, and codes. Keep abreast of legislative changes that may affect Fund. Provide continuing counsel and guidance on legal matters and on legal implications of all matters.
Qualification and Experience
The candidate should have a Law degree from accredited law school. Must have 2-4 years of law firm or in-house experience in transactional and corporate law. Working knowledge of nonprofit law is required. Should have California Bar admission in good standing. Attorney admitted in other states will be considered.
