Senior Counsel - Commercial contracts The candidate will be expected to quickly master and own their work within company’s Nutrition Business Unit supporting the Nutrisystem and South Beach Diet brands. Must operate independently and create strategies and drive plans to provide legal support that is business-focused and user friendly. Must have an understanding of what it means to work inside a public company and how best to support internal business clients who have the day-to-day challenges, as well as the highs and lows of running company. Must form strong alliances with the business, will be expected to be resident in the company’s corporate headquarters in Franklin, Tennessee, and may be required to travel, from time to time, to company’s other offices in Chandler, Arizona and Fort Washington, Pennsylvania. Must provide complex commercial contracting support for our Nutrition Division including negotiation and drafting of software licenses (On-prem and SaaS), software development, hardware acquisition, Big Data hosting and cloud based digital archiving, consulting services, marketing agreements, clinical studies, media purchases, telecom services, distribution agreements with big box and online retailers, 3PL/logistics, commercial leasing, and food manufacturing and supply agreements. Will be a member of the Legal Department reporting to the Deputy General Counsel and will be expected to lead in a transformational way and execute exceptionally well on a transactional basis, provide strategic leadership on various areas of law relating to our business. This position creates opportunity for the Senior Counsel to learn, grow and develop based on the amount and range of responsibility. Serves as lead commercial contracts counsel for Nutrition Business Unit. Drafts, reviews, and negotiates a wide range of complex commercial contracts for our Nutrition Business Unit including software licensing (On-prem and SaaS), software development, hardware acquisition, Big Data hosting and cloud based digital archiving, consulting services, marketing agreements, clinical studies, media purchases, telecom services, distribution agreements with big box and online retailers, 3PL/logistics, manufacturing and supply agreements and commercial leases. Provide advice and assistance to our Nutrition Business Unit regarding legal interpretation of contracts and pre-litigation dispute support. Assist with management of trademark portfolio including prosecution and enforcement. Assists with supervision of legal staff. Work on special projects assigned by the Deputy General Counsel or Chief Legal Officer. This project work normally involves research and recommendations on matters having company-wide significance. Plan strategies for solving various legal and business problems, as well as provide legal advice to management. Assist management in developing operational strategies and solutions relating to corporate policy.
Qualification and Experience
A Bachelor’s degree required. J.D. required, preferably from a law school of recognized standing. Must have 6-10 years post law school experience, with at least 5 years law firm experience. Must be strategic thinker with focus on practical client advice and the ability to advise on legal risks within a business context. Should have exceptional transactional work in support of an enterprise level strategic sourcing function, excellent drafting skills, and exceptional written and verbal communications are necessary. Exceptional client-focused support and service are required. Experience as an in-house corporate counsel is preferred. Experience planning, managing, and directing the development of regulations and operational policies, procedures, and guidance for the review of regulations is required. Must have effective time management skills and the ability to manage multiple tasks and priorities.
