Paralegal, Mergers And Acquisitions The candidate will support corporate strategy and corporate development related activities through inorganic growth as well as general corporate legal activity (including organic growth). Provides direct support to Corporate Counsel on a variety of legal tasks critical to both maintaining and expanding the organization. Coordinates due diligence matters and reviews relevant materials. Prepares basic organization documents, including stock certificates and stock ledger, for multiple jurisdictions. Compiles and maintains minute books and stock ledgers. Orders lien searches and summarizes lien search results. Prepares and files statutory filings, including amendments, mergers, and dissolutions. Interface with outside counsel regarding delivery of original documents. Pre-closing: Handles signature page distribution. Prepares closing certificates. Prepares closing files. Prepares initial draft of closing checklist. Assists with closing, including tracking down signature pages, filling in dates, tracking down final agreements and providing general support. Provides assistance tracking various legal and compliance initiatives. Must have In-depth knowledge and fluid understanding of, and strong ability to anticipate, paralegal support needs in various business activities, especially M&A transactions (e.g., difference in closing needs and documents for stock and asset transactions). Proficient in MS Office, knowledge of Westlaw or Lexis Nexis preferred. Should have extensive Corporate Mergers and Acquisitions experience, preferably in a major law firm. Industry/Client experience in Healthcare strongly preferred. Bachelor’s degree and paralegal certificate preferred. Must have Bachelor's Degree.
