Corporate Counsel, Commercial & Compliance
Responsibilities: Actively engage with and responding to commercial and compliance contracting requests from internal business owners and providing contracting support to support business needs. Evaluate potential contractual arrangements and draft, review and negotiate commercial agreements that are typical for a pharmaceutical or biotech company, including confidentiality, consulting agreements, master service agreements, payer agreements and supply agreements; as well as agreements that implicate risks particular to the health care industry, including prohibitions on fraud, waste and abuse, such as those with healthcare professionals, sponsorship agreements and business associate agreements. Interpret key contractual provisions in light of the Company’s business objectives and business operations considerations, as well as legal or regulatory requirements, and advise internal clients on the ramifications of such provisions. Help ensure that the company’s contractual relationships comport with laws, regulations and industry standards that include, among other topics, state and federal anti-kickback statutes, compliance with FDA, CMS and relevant regulatory requirements, and compliance with applicable corporate codes and policies (e.g., the Company’s Code of Conduct on Interactions with Health Care Professionals, which is based on the AdvaMed Code of Ethics on Interactions with Health Care Professionals). Work closely with other attorneys in the Legal Department to spot issues and carefully evaluate and mitigate risk related to proposed contractual arrangements. Engage with client groups on emerging contractual needs or potential contractual issues arising out of those interactions, and advise clients on business operations factors related to contract commitments. Provide direction and feedback to contract managers and/or paralegals in the Legal Department on the preparation, negotiation and execution of form agreements. Monitor and analyze new and developing laws, regulations and enforcement activity within the health care industry and incorporate learnings into internal education, messaging and policy development efforts. Assist in trainings and presentations to company on legal issues and policies. Assist on legal projects in other areas, as requested by the Legal Department.

Qualification and Experience

Requirements: Should have 3+ years of experience handling contracts at all stages in the Legal/Compliance function of a for-profit company in the healthcare, pharmaceutical, medical device, life sciences and/or clinical laboratory industries; or equivalent experience in private practice advising such companies. Juris Doctorate from an accredited law school. Admission to practice law including admission, or ability to pursue admission, in Washington state. Excellent presentation and communication skills. Able to take direction, prioritize, and multi-task in a fast-paced environment. Able to work both collaboratively and independently, while exercising initiative, flexibility, and sound business judgment. Analytically-oriented; practical and proactive problem solver. Comfortable working with different levels of the company including senior level management. Highly organized with a meticulous attention to detail. Able to set priorities and juggle multiple demands. Demonstrated client service orientation; able to recognize and respond quickly and pragmatically to urgent situations and demanding clients. Must have demonstrated authoritative and influencing skills, depth, and expertise in area(s) of responsibility. Ability to operate in alignment with company's core values.
