Legal Counsel
The candidate will review, draft, negotiate and manage procurement and sales/revenue agreements, NDA’s, DPA’s, and corporate filings in various jurisdictions. Work collaboratively with internal and external stakeholders to ensure that all legal issues identified in contract negotiations are effectively addressed, escalated, and resolved. Manage agreements to comply with company policies and risk tolerance. Respond promptly to legal requests from all internal business groups, summarizing and communicating legal concepts in a manner that business people can use. Proactively advise internal stakeholders on the legal issues and risks, complex agreement structures, approval processes, and company policies and procedures. Support the continuous improvement of standard form agreements and legal processes. Develop and deliver training on legal issues and contract processes. Should have a JD (or non-U.S. equivalent from a common law jurisdiction) and an active license to practice law in California or New York. Certified Information Privacy Professional (the US and/or EU) and/or experience in IP portfolio management is a plus. Should have 3+ years of commercial legal experience, preferably within the technology sector. Should preferably have 3+ years of relevant work experience, and 2+ years of experience in the telecommunications sector and or with data-driven business models, including risk management and compliance. Substantial experience in the software licensing or technology industry (including cloud products)is a preferred. Must have an extensive background in drafting and negotiating procurement agreements and sales contracts. Must have hands-on knowledge of privacy and data protection requirements in Europe and the U.S. Must have strong organizational skills and the ability to manage simultaneous projects under short deadlines, strong interpersonal skills to work as a team player and to effectively work with people of diverse cultures across a variety of business disciplines. Strong experience in working closely and effectively with sales in high pressure sales-driven environment. Must have strong English communication skills, both orally and in writing, and the ability to work autonomously as well as in a cross-functional team. Fluency in Spanish or Chinese is a plus.
