Job Overview
A prominent law firm is seeking an experienced Senior Associate or Of Counsel to join its Dallas office with a strong background in private equity and mergers and acquisitions (M&A). The ideal candidate will have experience advising private equity firms and their portfolio companies on complex transactions, such as leveraged buyouts, mergers, acquisitions, equity investments, and other corporate matters. This is an excellent opportunity for a skilled attorney to join a dynamic and collaborative team offering high-profile client work.

Duties

  • Advise private equity firms and their portfolio companies on various complex transactions, including mergers and acquisitions, leveraged buyouts, and equity investments.
  • Draft and negotiate key transaction documents, such as purchase and merger agreements, LLC and LP agreements, and ancillary documents.
  • Handle day-to-day matters related to private equity fund clients and portfolio companies.
  • Work on management equity arrangements, including incentive equity and co-investment terms.
  • Collaborate with internal teams on PE fund structures and documentation.

Requirements

  • At least 5 years of experience in advising private equity firms and portfolio companies on complex corporate matters, particularly in M&A, buyouts, and investments.
  • Strong proficiency in drafting and negotiating transaction documents.
  • Texas Bar admission or eligibility to be admitted in Texas.
  • Excellent communication and writing skills.

Education

  • JD degree from an ABA-accredited law school with strong academic credentials.

Certifications

  • Admission to the Texas Bar, or the ability to obtain it.

Skills

  • In-depth knowledge of private equity and M&A law.
  • Strong negotiation and drafting skills.
  • Excellent problem-solving and client advisory abilities.
  • Ability to work collaboratively in a fast-paced environment.
