Senior Paralegal The candidate will perform contract administration support; legal research; investigates disputes; and will provide paralegal support on a wide variety of matters handled in the legal department, including electric and natural gas utility regulatory filings and discovery, litigation, real estate support. Will assist in handling all aspects of electric and natural gas-related regulatory filings, including the drafting and development of energy administrative applications, testimony, witness summaries, and other administrative proceeding filings submitted to regulatory agencies. Provide administrative proceeding and/or litigation support, involving such activities as developing and maintaining files, discovery, discovery logs, and reports; routing administrative agency complaints to business leaders or counsel; drafting/coordinating responses to data requests, interrogatories, requests for admission/search/produce documents, fact investigations and discovery responses, interviews, document reviews/gathering/ productions/indexing. Review and prepare summaries of federal and state regulatory agency orders, rules, and procedures. Monitor state and federal regulatory agencies and work with counsel and business leaders to ensure that company complies with applicable state or federal laws, regulations, and orders. Perform legal research as requested by attorneys. Investigate disputes either by or against the company, draft memos and letters and provide recommendations to counsel for review and approval. Support the preparation, drafting, review and negotiation of contracts and agreements, regulatory filings, working closely with internal business managers, internal lawyers and outside lawyers to determine need for and scope of potential contracts. Assist counsel in the use and development of company templates or form agreements, including standard tariff or service contracts for routine services, real state contracts and franchise agreements; review counterparty proposed changes to standard forms and advise supervising attorney on deviations. Process contracts; assist business managers and counsel to resolve contract issues and secure and review supporting documentation for completeness (e.g., certificates of insurance, certificates of good standing). Coordinate, track and communicate the initiation, status and completion of contracts to ensure timely satisfaction of legal requirements and business objectives. Assist counsel in providing annual training for internal business groups, regarding regulatory agency compliance requirements. Assist in due diligence activities relating to business transactions. Design/develop and maintain structure for company documents, files, forms, etc., including legal files. Assist in the development and maintenance of company-specific procedures for the use of FileNet as the contract management system for documents and records; Supports corporate records retention and maintenance duties, including compliance with records retention schedules, compliance with electronic discovery obligations; serves as legal interface with other departments to ensure that corporate documents and records are indexed, archived and properly stored. Monitor CAPS process for continuous improvement and assist in securing requisite contract approvals. Work with internal lawyers, other legal staff and business leaders to support delivery of other legal services, as needed.

Qualification and Experience

The candidate must have 10+ years of corporate or law office paralegal experience ; completion of paralegal courses (energy, litigation, administrative law, real estate, contracts, etc.). Bachelor’s Degree required in Paralegal Studies or equivalent experience in corporate or private legal practice. Knowledge of Legal Department/office work environment, including confidentiality requirements; Standard legal proceedings and related written documentation; Legal research techniques; Advanced office administration practices and concepts.; Automation applications and computer databases.; Written business communication and report writing techniques required. Paralegal Certificate Required.
