Assistant General Counsel, Intellectual Property The candidate is responsible to draft, review, analyze, structure, and negotiate the intellectual property provisions of manufacturing, packaging, pharmaceutical development, purchase, supply, license, and master service agreements. Advise business unit personnel with respect to intellectual property policies and issues, including validity, infringement, “ethical walls,” and inventorship. Draft and prosecute patent applications and oversee outside counsel in prosecuting and maintaining the intellectual property portfolio. Provide, and work with outside counsel on, advice concerning freedom to operate, validity, infringement, enforceability, and related matters. Oversee intellectual property litigation as needed; Assist in merger and acquisition activity. Review and revise external communications on all commercial matters; Review and counsel concerning scientific publications. Provide legal support to firm’s Drug Delivery Institute; Provide advice and guidance for the accomplishment of firm’s overall business objectives in compliance with applicable laws and regulations and avoidance of unacceptable risks; Provide informed cost-benefit analysis when identifying risks. Develop a thorough understanding of and familiarity with firm’s business and its people, products, technology, markets, facilities, customers, and competitors in order to identify trends and formulate structures and strategies accordingly. Ensure that all activities are conducted in compliance with internal policies and procedures. Make presentations to firm personnel on legal issues as needed.
Qualification and Experience
The candidate must have a record of outstanding academic achievement at the undergraduate and graduate levels. Must be admitted to practice in New Jersey. 6-8 years of intellectual property experience with a well-established law firm and/or corporate legal department, with a focus on pharmaceutical or other regulated industry legal matters is essential. Familiarity with the science and regulatory environment related to pharmaceutical research and development is required. Should be a business person’s lawyer with excellent judgment, particularly in determining the significance of legal matters and effectively measuring and minimizing risks. Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs are must. Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities is critical. Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout firm is required. Fluency in French, German, Italian, Portuguese or Spanish is a plus.
