Software Licensing Associate (Technology Transfer Professional 2)
The candidate reporting to the Team Leader of Licensing within The Richard P. Feynman Center for Innovation (FCI), will be responsible for licensing company’s software related technologies, both copyrights and patents, to commercial, academic, and government entities. Collaborate with FCI’s Business Development Executives, Contract Management Team, Intellectual Property Team, Laboratory Counsel, and Laboratory authors and inventors (Principal Investigators) to negotiate and maintain a quality licensing arrangement with customers taking into consideration risks associated with the deal. Team with Principal Investigators throughout the Laboratory to understand the capabilities and intellectual property landscape across key programs and divisions. Identify commercially viable and valuable software technologies and facilitate their commercialization via out-licensing to established firms, new venture creation, corporate partnerships, and small businesses. Assess business plans and presentations. Negotiate and execute patents and software license agreements including exclusive and nonexclusive licenses, modifications, end-user, interinstitutional/royalty sharing, test and evaluation, contributor, and government use agreements. Understand and lead commercialization strategies, market assessments, and intellectual property landscapes to identify, scope and assess early-stage technologies. Proactively market lab best practices. Guide change management and efficient operation of technology transfer, contract management, and IP procurement within the institution. Develop and manage business relationships with licensees. Independently represent technologies and lead technology discussions with potential licensees. Assist in the disclosure of new software and inventions. Provide objective feedback on disclosures to management for copyright and patenting consideration.

Qualification and Experience

The candidate should have Bachelor’s degree and 5 years of related experience required or equivalent combination of experience and relevant education. Bachelor of Science degree highly desired; MBA strongly desired, and JD highest desired. Should preferable Practicing attorney. Should have 2+ years of general contract business experience. Must have detailed knowledge of intellectual property practices and competitive landscapes, contractual mechanisms, and financial analysis. 3 years of substantive contract/ licensing drafting and review experience is desired. Should have basic skills in evaluation of business and product commercialization plans. Demonstrated experience in software asset management, procurement or software contract management in the technology sector with particular experience in software licensing is needed. Must have demonstrated experience in leading license negotiations and familiarity with software license agreements from a legal and compliance perspective. Should have experience assessing technologies and linking technologies to the needs of industry, consumers and/or other Federal agencies. Must have ability to draft contract language. Must Possess a network of private sector, academic and government technology contacts. Should have working knowledge of U.S. intellectual property. Basic knowledge of business start-up mechanics including characteristics, strategies and funding mechanisms including venture capital is needed. Must have familiarity with export control. Should have knowledge of Federal, DOE, Laboratory, and/or university technology transfer practices. Familiarity with program development is needed.
