Legal Counsel
Responsibilities:will work in a team-oriented and results-focused environment with attorneys, contract managers, project managers, commercial project managers, executives, and other team members on a variety of exciting commercial construction projects in the United States and Canada. Range of activities include, but are not limited to, the following:Review, analyze, draft, negotiate, and advise upon a variety of project-related commercial contracts in the United States and Canada, including prime contracts, subcontracts, bids, proposals, professional service agreements, operations and maintenance agreements, construction and engineering agreements, master service and vendor related agreements, etc. Provide practical legal advice to project management and execution teams regarding a wide variety of commercial project matters, including contract compliance, change order documentation, project notices, and subcontractor management. Investigate, manage and resolve commercial and construction project and contract conflicts and claims with owners, design professionals and subcontractors. Work closely with contract management professionals and provide legal advice and approvals where required during contract negotiations.
Analyze unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business procedure and communicate policy to peers and across the organization.
Analyze and recommend deviations from limits of authority directive and prepare communication for appropriate management approval. Perform substantial drafting and negotiation of contracts with customers, suppliers and vendors. Assist with developing and providing legal/compliance training to organization, and work with corporate executives to ensure adherence to corporate policies. Contribute to the development and improvement of the model contract library and the efficiency of the legal contract management process.

Qualification and Experience

The candidate should J.D. / law degree and must be admitted/licensed to practice law in one or more states. Should have 5+ years of demonstrated legal experience drafting and negotiating commercial construction contracts as an associate or partner in a law firm or as corporate counsel/in-house counsel. Experience with project business or large-scale construction business. Ability to socialize ideas, make recommendations and gather team consensus to move forward. Ability to work closely with management, and contribute to the success of the business by providing practical legal and business advice. Excellent communication and writing skills with demonstrated ability to develop and communicate clear, concise and consistent contractual provisions. Ability to interact and cooperate with all levels of management, legal, attorneys, and contracting officers within a fast-paced and diverse multi-cultural environment. Willingness and ability to travel domestically and, occasionally, internationally.
