Transactional Attorney The successful candidate is responsible for general commercial legal support, including procurement-related supply and service contract negotiation and drafting, handling business development-related transactions pursued by firm and its subsidiaries and affiliates (the â€œCompanyâ€) and preventive law counseling. Involves contract review, interpretation, negotiation, legal research and advising clients on day-to-day legal matters. Entails heavy interaction with Marathon Petroleum Company client organizations, third parties, in-house counsel and outside counsel. Provides professional legal advice, counsel, and guidance, as a practicing attorney at law, to assure that the Company, its assets and its activities are legally safeguarded, are in conformity with all the applicable laws and regulations and will not unduly expose the Company to litigation, penalties or claims. Develops form contracts and other legal documents and reviews, negotiates and approves the form of all significant contractual arrangements entered into by the Company, including major service contracts, supply agreements and EPC contracts. Evaluates contractual content of proposals, provides interpretation of contract language, drafts internal contracts or responses to external contracts, evaluates the need for additional legal review. Advises the management of the Company as to the anticipated legal and other consequences of instituting, prosecuting and defending lawsuits. Advises management of the legal aspects of administrative and operational planning of the Company's activities. Develops and implements programs, conducts presentations, publishes information and participates in other activities to educate Company officers and employees as to the Company's Code of Business Conduct, Company policies and procedures and legal compliance requirements. Plans and develops solutions to existing or potential legal problems involving the Company, and advises management concerning its legal rights and obligations. Participates in continuing legal education programs and other activities as necessary to keep informed of developments in the law, new and proposed statutes and regulations, economic and social issues and other matters of interest to the Company and the energy industry.
Qualification and Experience
The candidate must have Juris Doctorate degree. A licensed and authorized to practice law in Ohio or another state is preferred. Graduated from law school and who plan to sit for the next offering of the Ohio or other state Bar exam following graduation is considered. 0-5 years of experience is preferred.
