A law firm seeks a skilled and highly motivated Business/Corporate Attorney to join its practice group in Edina, MN. This role is ideal for an attorney with a strong background in business law, including entity formation, governance, transactions, and mergers/acquisitions. The successful candidate will work on a diverse range of complex corporate matters, contributing to the growth and success of clients in various industries.

Duties

• Advise clients on business entity selection and formation, ensuring compliance with applicable laws and regulations.
• Draft, review, and negotiate buy-sell agreements and corporate governance documents.
• Handle mergers and acquisitions, including due diligence, structuring, and transaction management.
• Guide business transactions, including contracts, joint ventures, and partnership agreements.
• Collaborate with senior attorneys and clients to develop and implement effective business strategies.
• Maintain strong client relationships, providing expert legal counsel on a variety of business law matters.

Requirements

• At least 5 years of experience in business law, including entity formation, corporate governance, and M&A.
• Experience with complex business transactions and legal negotiations.
• Ability to manage multiple matters simultaneously, with a strong attention to detail.
• Exceptional communication, drafting, and negotiation skills.
• Strong business acumen and a proactive, solution-oriented approach to legal challenges.
• Ability to work collaboratively in a team-oriented environment.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Must be licensed to practice law in the state of Minnesota.
