Senior Corporate Counsel DUTIES: Support Terminals and Operations Department of a publicly-traded distributor of petroleum and related products, responsible for day-to-day legal work for a network of owned or leased storage and distribution terminals. Negotiate and manage sophisticated merger and acquisition (or disposition) transactions and related activities. Work on regulatory and compliance matters with respect to all aspects of the purchase, storage, distribution and sale of petroleum and related products. Provide prompt, efficient and effective legal services and advice to other departments in connection with day-to-day business operations of a publicly-traded retail and wholesale petroleum distributor.

Qualification and Experience

QUALIFICATIONS: Admission to MA Bar a plus. 12+ years legal experience focused on m&a, finance and general corporate transactions, with 6+ years at a mid or large size law firm and 4 years at an in-house legal department. Public company experience preferred. Familiarity with logistics agreements and arrangements for all modes of transportation (trucking, pipeline, rail and marine). Ability to work effectively with business leads, in-house counsel, outside counsel and consultants. Commercial real estate and/or asset-based lending experience preferred. Experience with environmental compliance matters preferred. Experience managing internal clients and outside counsel on litigation matters a plus. Experience with union relations and management of HR matters a plus.
