The candidate will draft and review SEC filings, corporate governance materials and proxy statements for annual and special meetings. Will also responsible for researching complex questions arising under 1940 Act, the Advisers Act, the Exchange Act, and the rules and releases of the SEC, FINRA, the NYSE, and Nasdaq. Collaborate with deal teams throughout all stages of initial public offerings, leveraged financing transactions and acquisition financings and working with opposing counsels, intermediaries and regulators to ensure timely completion of operative documents and relevant filings. Should have 3-5 years of experience representing corporate issuers and major investment banks in all aspects of equity capital markets financings, advising clients on compliance and corporate governance issues and strategic mergers and acquisitions transactions. Must also have superior verbal and written communication skills, excellent interpersonal and client service skills and the ability to function well in a high-paced and, at times, stressful environment. J.D. degree from an accredited law school or equivalent is required and experience working at a large law firm is preferred.

The firm should focus on getting management training to handle difficult problems and issues. Members of the management team need to be more considerate of staff and employees. Management should take responsibility for issues and problems and deal with them and not try to blame employees and staff for them.
