The candidate will to represent clients in acquisitions, mergers, divestitures, joint ventures and partnerships and other commercial and financial transactions. Will serve in the reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions. Engages in pre-transaction planning, due diligence, deal and information management, preparation and negotiation of purchase and other transaction agreements, closings, post-closing matters, and business integration; assists with transactions involving equity and assets, mergers, venture capital, private equity and bank financings, joint ventures, and corporate consolidations, reorganizations and restructurings; advises on key corporate governance, strategic and fiduciary duty issues; Manages communications with the client, client advisors and opposing counsel from the time of initial contact through closing; and Implements strong project management and team building skills to better ensure the accomplishment of the client's objectives in a manner that is time and cost efficient. Should preferably have knowledge of market terms for corporate transactions in a broad cross-section of industries.
