Counsel, Risk & Compliance – Shimadzu Scientific Instruments (Columbia, MD)


Shimadzu Scientific Instruments is one of the largest suppliers of analytical instrumentation, physical testing, and environmental monitoring systems in the world. The individual in this position is responsible for SSI’s risk and compliance legal initiatives. Includes developing and executing the risk management program initiatives and fostering collaboration across business divisions and functions. This includes conducting risk assessments and providing corrective action plans. This ensures SSI is following company policies, as well as applicable regulatory requirements and provide legal & risk advice to executives and senior management. This role will provide direction and advice to Shimadzu America Group companies regarding Global Governance risk action items.

The focus of this position is to assess areas of risk related to all governmental regulatory rules/laws, internal company policies and ethical standards, and provide mitigation strategies to limit such risk, when applicable.  The Incumbent will be required to collaborate with process owners to build knowledge and understanding of risks and controls.  This role will be involved in complex business transactions and assist with negotiating critical contracts. Will work with outside business/regulatory counsel as needed.


  1. Develop and execute compliance risk assessments, including an annual assessment (product, operational, financial …) to identify potential areas of compliance vulnerability. (Quarterly/Annually)
  2. Develop and implement corrective action plans for resolution of problematic issues/risks and provide general guidance/advice on how to avoid or deal with similar situations in the future. (Monthly)
  3. Establish and execute a risk monitoring and auditing plan to support ongoing evaluation of processes and related controls to determine compliance with pertinent laws and regulations. (Monthly)
  4. Provide advisory, consultative services and risk analysis on current and future enhancements to business processes and communication to control owners.  Work closely with Business Process Improvement Manager.  (Weekly)
  5. Develop and share in-depth understanding of current legislation and regulations that pertain to SSI industry, including anti-corruption, privacy and competition/antitrust regulations.  Keep informed regarding pending industry changes, trends and best practices by assessing the potential impact of these changes on the organization. (Weekly)
  6. Interacting with external (and internal JSOX) auditors on matters related to audits of the organization’s internal controls. Work closely with Internal Compliance and Process Manager.  (Monthly)
  7. Review and asses potential fraud activities, work with Cyber Security Specialist to develop fraud detection tools and mitigation strategies. Additionally, be the legal resource for advising on GDPR, and various US state cookie requirements. (Monthly)
  8. Create, implement and update a business continuity/disaster recovery plan to limit risks.  Assist with developing the company’s risk tolerance level. (Quarterly)
  9. Provide insights and advisory recommendations to accounting/finance in relation to annual compliance requirements, J-Sox Program, control initiatives, business projects and remediation plans for financial controls.  (Weekly)
  10. Produce company policies as needed for a variety of legal field such as antitrust, antibribery, records retention & destruction, CCPA, prohibition on products, trade agreements, updating signature protocol policy  ….  (Weekly)
  11. Partner with HR, Safety, Facilities and Legal to ensure and sustain a safe operating environment. (Weekly)
  12. Build risk awareness amongst staff by providing support and training within the company. (monthly)
  13. Act as Risk Mitigation Manager Team Leader for Shimadzu America Inc Group Companies. Assist SAI Directors with implementing compliance & risk directives from Shimadzu Corp. (Weekly)
  14. Serve as main counsel on all export/import control legal concerns. Work closely with SSI’s Export/Import Manager to develop effective strategies and policies that keep the company complaint to existing and newly issued regulations. Review security trade documents for compliance. Provide legal advice regarding customer accounts listed in Amber Road software. (Weekly)
  15. Serve as a safety committee member, assist with inspections and audits with an eye on risk mitigation strategies. This role is member of the assigned committee to meet any OSHA/Safety Inspector planned or unplanned visit.  (Weekly)
  16. Provide direction and guidance (and ensure accountability) to the company’s GSA Administrator and GSA, TX & NY State contract(s) administration.  (daily)
  17. Manages assigned paralegal staff in the legal division to include; hiring, firing, discipling, coaching, mentoring, motivating, conducting performance reviews, compensation decision and other routine personnel actions. While this position will not have direct supervision at this time, the position may grow to include this in the future.(Daily)
  18. Assists Legal Counsel (Business/Corporate Affairs) with court cases filed against or on behalf of the company (SSI) as needed. (Monthly)
  19. Provide back up support to Legal Counsel (Business/Corporate Affairs) on business matters during downtime and during leaves of absence/vacation. (weekly)
  20. Oversee the selection, retention, management and evaluation of outside Risk & Compliance legal counsel for SSI. Provide input on outside Employment and Business/Corporate Affairs Counsel as requested. (Weekly)
  21. Travel by car and air as required to fulfill the duties of the general counsel role for SSI and/or SAI. (weekly)
  22. Act as a visionary, strategic and inclusive leader committed to the highest standards of excellence. (daily)
  23. As needed, draft, review, edit and execute routine business documents, contracts and agreements (MOU, NDA, terms & conditions, vendor agreements …) that minimize risks and maximize legal rights. (daily)
  24. Provide assistance and counsel to Shimadzu Corporation on assigned large accounts (Labcorp & Eurofins) as required. (Weekly)
  25. Provide legal assistance to Shimadzu Corporation on matters that relate to area of expertise - risk and compliance. (weekly)



This position’s primary focus is to ensure established company, legal laws and regulatory standards are evaluated and designed to limit and mitigate risk exposure. This role is responsible for reviewing all business legal matters for compliance to company, legal and regulatory standards.  Incumbent is to assist the company with operating within the law at all times mitigating risk exposure limits in a variety of departmental sectors.

Incumbent must have strong problem-solving skills, which are required to provide resolution to legal issues in a timely and efficient manner. Requires understanding of Corporate Business Laws/Regulations and Risk Mitigation Strategies.  Must be proficient at effectively designing risk mitigation plans, training personnel, performing inspection, test and audit functions, communicating applicable risks and provide when necessary risk mitigating recommendations. Needs the ability to work across multiple lines of business, high attention to detail and to persuade, influence and build trust with a broad spectrum of employees across all levels of the organization.  Must make sound legal recommendations (advice) and business decisions in an independent manner.


Incumbent should have at least a bachelor’s degree ideally in Compliance & Risk, Auditing, or Legal (JD) Discipline with two (2) or more years of proven risk management/ compliance experience. Law degree is required; with any additional certifications in Safety, Accounting, Auditing, ERM or Risk/ Compliance being highly desirable. Ability to lead multiple priorities and teams simultaneously.  Demonstrated ability to learn quickly and achieve/drive results.  Experience within a clinical laboratory or pharmaceutical environment is preferable, but not necessary.


This position will directly manage daily any assigned paralegal and administrative staff in the legal department.   This position will not have direct supervision at this time; but may in the future.
