Corporate Paralegal The candidate will provide support in the areas of corporate securities reporting and compliance, corporate finance and governance. Will work closely with all facets of our organization as it expands within the US and internationally. Maintain corporate books and records. Prepare and assist with various aspects of government, securities and regulatory filings. Manage foreign qualifications, annual state reports/filings and good standing requirements. Assist with implementing and maintaining compliance related policies and processes. Provide support for policy trainings, enforcement and compliance. Maintain and track information for officers and directors, including beneficial ownership related information. Assist with entity management and corporate secretary function for domestic and international subsidiaries, including but not limited to maintenance of corporate records, governance, formations and dissolutions. Support all aspects of M&A transactions and other strategic corporate development transactions, including due diligence, document preparation, closing mechanics and post-closing integration and administration. Assist with stock plan management and equity related matters. Work on special projects and other legal initiatives. Bachelor's degree from an accredited institution, and/or paralegal certificate is essential. Knowledge of US and state securities laws and reporting is essential. Must have 5+ years of experience, preferably in an in-house capacity. Experience establishing and maintaining corporate entities is essential. Superior interpersonal skills with demonstrated teaming ability to work well with peers, all levels of management, and external resources in a virtual team environment is preferred. Excellent communication skills (written, oral, and listening) with the ability to work with, influence, and inform diverse groups is preferred. Strong technical skill set; able to work effectively with Microsoft Office application is preferred.
