House Counsel The candidate will be responsible for leading corporate strategic and tactical legal initiatives. Provides senior management with effective advice on company strategies and the implementation, manages the legal function, and obtains and oversees the work of outside counsel. Involved in complex business transactions in negotiating critical contracts. Works closely with executive team on new territory expansion, identifying state legal and/or business entity challenges. Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations. Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Oversees the selection, retention, management and evaluation of all outside counsel. Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Serve as lead employment and labor counsel working closely with the Chief Executive Officer and team to, among other duties, oversee all employment practice liability claims (litigation and administrative agency), handle labor arbitrations (and/or overseeing outside counsel in this area), and provide advice and counsel to managers, risk management, and human resources professionals. Manage day to day legal matters to support the business, including: agreements (e.g. general contract matters, including the drafting, negotiation and finalization of general contracts, licenses, consulting agreements and service agreements), investigate potential or alleged legal violations, employment legal matters, records information, regulatory review of materials, immigration and visa, regulatory and lobbying support, government affairs, copyright/trademarks, corporate communications, sales and marketing. As part of the role’s overall litigation management, assist in providing legal support to the Risk Management Team related to patient claims and medical malpractice litigation. Provide strategic legal advice and support to senior leadership including legal implications and legal aspects relative to business practices, corporate strategies and legal trends. Develop, implement and update legal policies, procedures and practices in coordination with senior leadership. Work collaboratively with New Territory teams; identifying state legal and/or business entity setup challenges in new markets. Perform comprehensive research for the licensing and all requirements (Federal, State, Local), regulatory and tax requirements for new states/regions. Maintain corporate governance for the current affiliates (corporate board matters, etc.) and establish governance for future affiliates (set up and establishing the legal entity and governance for all future affiliates). Provide legal advice and counsel on a variety of issues related to firm’s practice and other entities with a focus on patient care matters, HIPAA/privacy, physician practice acquisitions and physician contracting issues, including related healthcare regulatory matter. Advising the company and senior management on a broad range of federal and state regulatory and compliance matters, including identifying areas of risk and making suggestions for improvement. Analyzing and summarizing complicated legal documents, including contracts, and making suggestions for alterations of those documents. Anticipating and mitigating potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk. Work collaboratively with outside counsel while carefully managing outside counsel fees and expenses in accordance with the Department’s budget program and requirements.

Qualification and Experience

The candidate must have 6+ years’ relevant experience as a practicing attorney. Should have Undergraduate college degree. Juris Doctorate degree from a nationally recognized school of law is required. Licensed to practice in New Jersey, or can be admitted to practice as house counsel in New Jersey is needed.
