Associate General Counsel, Consumer Financial Services Licensing The candidate will provide prompt, proactive, practical, and strategic advice on a variety of legal issues with a primary focus on necessary federal or state license requirements. Will advise business partners on compliance with the requirements of federal and state laws governing licensing requirements for new products and services offered by the Company. Assist business, finance, tax, and compliance partners in navigating the state and federal licensing and approval process in connection with, among others, new products and services and legal entity structures. Develop and maintain a repository to track and report on licensing and related compliance and reporting obligations and develop enhancements to drive efficiencies in the licensing program. Collaborate with the Legal team and business partners to prepare and timely submit in NMLS/state systems necessary state licensing filings and reports and manage license examinations. Conduct legal research and draft formal and informal correspondence and memoranda. Monitor and interpret relevant legal and regulatory developments that may impact the Company and proactively advise on potential risks, spot legal and regulatory issues, and assist with operationalizing and implementing compliant products and services and operational controls. Collaborate with business and risk/compliance partners to continuously improve the licensing program. Maintain a high level of professionalism, outstanding business judgment and strategic thought/growth-minded leadership, and innovative approaches to legal issues that align with business initiatives and objectives. Perform additional duties and assist with special projects as assigned. Engage and manage outside counsel in various jurisdictions as appropriate to ensure timely advice.
Qualification and Experience
The candidate should have a JD from an ABA-accredited law school. Must have a current Bar license and be in good standing to practice law. Must have 5+ years of experience practicing in a large law firm or fintech/neobank in-house environment with a concentration in federal and state consumer credit licensing and regulatory practices. Must be familiar with NMLS and state licensing requirements and systems as they relate to non-bank financial services companies. Must have a working knowledge of laws, regulations, and industry rules that apply to consumer financial open-end and closed-end credit products (e.g. Electronic Fund Transfers Act (EFTA)/Reg E, BSA/AML/OFAC, Durbin Amendment,/Reg II, NACHA Operating Rules and Payment Network Rules, FCRA/Reg V, TILA/Reg Z, ECOA/Reg B, UDAAP, BSA/AML, SCRA, GLBA, TCPA, FDCPA, federal and state bankruptcy laws, and state privacy and servicing/debt collection laws). Should have excellent computer-assisted research and analytical skills with a focus on problem-solving. Must be proficient with basic computer applications, including Google Suites and Microsoft Office products. 3+ years advising on licensing and related compliance requirements applicable to consumer credit fintech companies in an in-house legal team or specialized private firm practice group is preferred.
