The candidate will assist with the preparation and compilation of various SEC Filings including but not limited to Form 4’s, 8K, 10Q, 10K, and Proxy Statement. Assist with Credit Agreement reps and warranties and assisting attorney with keeping track of dates/obligations in Credit Agreement. Assist Corporate Secretary with the preparation of datasheets, annual state filing requirements, preparation of UWC, and other board materials. Assist with gathering and organizing various financial transactions such as stock or debt offerings. Assist with research and drafting of corporate policies and procedures. Assist with all aspects of M&A work include: due diligence (gathering, indexing, and organizing documents) along with review for consents, preferential rights, etc, assist with update exhibits and prepare close documents for execution; create, update, and maintain a checklist for A&D team; assist with final certifications from clients of reps and warranties in definitive agreements; following up on outstanding post-closing tasks; assist with final certifications from clients of reps and warranties in definitive agreements. Legal research may include assist with public searches for information, Lexis/Nexis searches. Assist with maintain legal invoice billing systems. Assist with an intake of records and integration into systems. Follow up on outstanding tasks with attorneys and clients. Assist with all phases of the litigation process include but not limited to setting up and monitoring the Legal Hold process (including gathering documents, filing, indexing); index and update/maintain plead; docket key dates; organize exhibits, documents, briefs, and appendices; aid attorneys with interrogatories and discovery requests; redaction of documents. Open and maintain matters in the Bright flag, LPI’s matter management system. Assist with gather information and documentation for the annual insurance renewal process. Assist with review and preparation of various land instruments and exhibits including JOA’s and Lease Exchange Agreements and exhibits. Assist with review and evaluation of documents for specific provisions (consents, royalty clauses, etc.). Assist Supply Chain or other groups with the integration of new agreements and/or termination of duplicate agreements as well as assisting with the review of MSA’s and Work Orders.

Qualification and Experience

The candidate should have an Associate degree (or higher) in paralegal studies or equivalent work experience or completion of a formal paralegal program. Must have proven working experience as a litigation and/or in-house paralegal. Must have ability to maintain composure under pressure, basic understanding of legal principles and proceedings, hyper-organized, fundamentals of business mathematics, fundamentals of legal writing and online legal and public data research. Must have advanced multi-tasking skills, refined written and verbal communication skills.
