Contracts Administrator/Paralegal The Candidate will be responsible for Draft, review, and/or negotiate a variety of commercial documents, including vendor contracts, NDAs, vendor registration forms, amendments, upsell agreements, and change orders. Assist with outbound commercial agreements for our enterprise, industry partnership and business development teams, as well as university partner agreements. Create and oversee databases and form files. Undertake and manage projects as required to develop process improvement programs, including eventual implementation of a contracts management system. Assist in the creation, implementation and promotion of contract policies and procedures with the goal of scaling company activities while ensuring manageable risk. Provide interpretation of contractual terms and guidance on legal and business risks as well as providing creative solutions to potential issues. Maintain and revise template agreements as required. Maintain electronic filing of agreements. Communicate and track requirements resulting from special terms. Develop standard and fallback SLA terms to help standardize vendor contracts. Assist the legal teamâ€™s efforts in the preparation, implementation, and refinement of forms, playbooks, systems, processes, and procedures. Obtain and maintain a strong knowledge of the company, its mission, strategy, and values, its product and service offerings, and the objectives of supported business units. Handle special projects as required or requested.
Qualification and Experience
The candidate should have Demonstrated experience in negotiating, drafting, and managing vendor contracts from start to finish in a corporate legal department. Familiarity with basic legal terminology, principles and documentation and general knowledge of broad based substantive legal matters such as contracts and intellectual property. Excellent organizational skills, keen attention to detail, and unfailing follow-up to effectively manage multiple activities of varying difficulty, priority and complexity with a short turnaround time. Superior written and verbal communication skills, strong analytical and creative-problem solving abilities, excellent interpersonal and operational skills. Mac and Google Docs proficiency preferred, including Microsoft Word, Excel and Google Docs, Calendar and Sheets skills. Experience using Google Drive, Dropbox, and DocuSign. Strong sense of accountability, integrity and taking ownership over projects and responsibilities and resolving issues proactively. Understanding of contract management systems. A record of past achievement, including the ability to spearhead process creation and improvement. Entrepreneurial drive and comfort working in ambiguous, quickly-changing environments. Outstanding ability to collaborate, understand, and empathize with others.
