Paralegal The candidate will provide legal support to the in-house legal department by performing both key day-to-day functions and special projects involving various areas of law, including corporate governance, M&A, regulatory, real estate, transactional work, and contracts. Responsibilities: Assist in the management of corporate governance of multiple entities, including company formation and dissolution, maintenance of corporate books, and drafting and filing of company resolutions, annual consents, various routine state filings; Review, analyze, and abstract real estate leases and other contracts and serve as the first stop resource for internal contract related inquiries, such as payment and operational obligations, upcoming expirations and agreement renewal terms; Oversee the contract management process, including responding to contract intake requests, assisting in preparation and review of contracts and amendments at direction of legal counsel, and maintaining completed contracts in the company’s contract management database; Assist in acquisition/disposition transactions, including coordinating due diligence across the parties involved, preparing closing checklists, coordinating the closing process, and preparing and maintaining closings binders; Assist in licensing and permitting matters related to the company’s business, including processing both new applications and renewals, communicating with regulatory agencies, and performing other tasks as need; Support a broad range of environmental and other compliance related functions, including regulatory compliance audits and assessments and fuel related regulatory reporting; Establish and maintain the integrity of electronic and paper files ensuring all legal documents, forms, filings, agreements, and other executed documents are filed correctly and organized logically; Provide legal counsel with general administrative support including formatting, proofreading and editing documents and correspondence, coordinating required signatures, tracking legal services invoices, filing (hard & electronic copies), preparing mailings; Perform legal research; and Perform additional duties as assigned and participate in special projects, as required from time to time.
Qualification and Experience
The candidate should have Bachelor's Degree. Must have 5+ years of corporate law experience, with law firm or relevant experience as a paralegal in a large in-house environment preferred. Thorough grasp of corporate governance, contracts, regulatory compliance, and legal matters is required. Should be proficient in MS office applications – Outlook, Word, Excel, PowerPoint. Must have outstanding interpersonal, verbal and written communication skills. Should have ability to work both independently and as part of a cross-functional team with minimal supervision in a fast paced environment and remain flexible and adaptable to rapidly changing priorities white remaining focused. Excellent organizational skills are required. Notary Public preferred.
