Legal Counsel / Senior Counsel The candidate will review, draft, and negotiate outbound licensing (both on premise and SaaS/hosted offerings) and related transactions (e.g., NDAs, SOWs) between the firm and its end user customers and business partners. Review, draft, and negotiate inbound procurement-related transactions between the firm and its suppliers. Ongoing review and revision of firm’s contract templates. Advise internal the firm business clients on legal risks, business strategy, and company policies. Should have JD degree from an accredited law school, and admitted to practice law in New Jersey or New York. Must have 5+ years of legal experience, preferably with 3+ years working in an in-house legal department. Should have significant experience in drafting and negotiating technology licensing transactions, preferably in the areas of on premise software and SaaS/hosted offerings. Previous experience partnering with multiple client groups in a fast-paced and high volume environment with a highly distributed workforce. Familiarity with revenue recognition rules as applied to licensing transactions is preferred. Familiarity with data protection laws/issues is a plus. Previous experience with sales forecasting and contract administration systems (e.g., Salesforce.com) is a plus.
