ProfileCorporate Counsel The candidate will report directly to the General Counsel and will provide broad-based legal support for the company. Will be responsible for a broad range of commercial, regulatory and compliance matters and structuring, drafting and negotiating commercial transactions. Responsible for a broad range of commercial, regulatory and compliance matters and structuring, drafting and negotiating commercial transactions. Work directly with internal business units on strategic deals, providing day-to-day advice and resolving issues that arise in new and existing commercial relationships. Responsible for drafting and negotiating commercial transactions (master services agreements, statements of work, service level agreements, change orders, work orders, confidentiality and non-disclosure agreements, etc.) with customers, vendors and subcontractors. Provide on-going legal counseling in intellectual property, data protection and security, labor and employment, general corporate and regulatory compliance. Prepare and maintain corporate documents such as meeting minutes, resolutions, bylaws and articles of incorporation.
Qualification and Experience
The candidate should have a J.D. degree with strong academic credentials from a respected ABA accredited institution. Should be licensed to practice law in at least one state, preferably North Carolina. Must have 3+ years of experience, ideally with some in-house corporate experience. Technology industry experience is preferred.
