Corporate Paralegal The candidate will be responsible for supporting in-house attorneys in all stages of corporate and commercial transactions, including acquisitions and real estate transactions; contract and document preparation and review; legal matters and litigation; and other day-to-day operations and support of the legal department. Assist with all aspects of acquisitions and other real estate transactions, including letters of intent, due diligence, closings and post-closing follow-up. Responsible for coordination, tracking, and filing of legal and due diligence documents for acquisition and real estate transactions. Manage aspects of an electronic data room. Attend various closings of mergers and acquisitions, provide notarial certifications and file executed contracts. Track and coordinate acquisition escrow releases with company trust account bank representative, in-house counsel and business development. Assist with creating and maintaining form contracts and documents for acquisition and real estate transactions, lease activity, construction contracts, and other matters. Assist corporate counsel/corporate secretary with maintenance of organizational chart, corporate minute books and state and federal filings for multiple entities. Support in-house counsel with matters of corporate equity, document coordination/filing, and maintenance of stock certificates and related documents. Manage filing and retention of contracts, insurance policies and other legal records; create best practices for information governance and e-discovery obligations. Provide support for the in-house legal function advising real estate department and other business units. Assist with managing of trademarks, including trademarks from new acquisitions, USPTO proof-of-use filings and renewals with outside counsel, and assist with infringement matters as needed. Gather and analyze data and investigate facts for various complaints. Review and track outside counsel invoicing. Support in-house counsel with various departmental administrative needs such as correspondence, filing, tracking and taking on independent projects, etc. Performs other duties as required to successfully meet the needs of the legal department and the business. Lifting and carrying small amount of weight. Some local travel required. Limited but possible travel to locations throughout the United States.
Qualification and Experience
The candidate should have 2-year paralegal certificate or 4-year college degree. 4-year college degree strongly preferred. Should have 3 years of relevant corporate legal experience. 5+ years of experience strongly preferred. Must have strong work ethic, a commitment to compliance and confidentiality, and a very high level of personal integrity. Should have strong organizational and project management skills. Must have strong communication/inter-personal skills. Should have exceptional spelling, grammar and writing skills. Must have strong understanding of corporate structures and legal business requirements. Ability to effectively manage multiple high-priority matters is required. Should have strong knowledge of Microsoft Office Suite. Must have ability to perform online research, analyze information, prepare written reports. should have ability to draft legal documents and correspondence.
