ProfileEntry-Level Paralegal The candidate will support the department across various matters, with a focus on drafting, reviewing and negotiating programming related agreements, commercial contracts, vendor agreements, and assisting with other transactional matters as needed. Will be managing and negotiating all client and vendor contracts. Advising Procurement and Business Unit personnel on legal risks posed by terms under negotiation for construction, equipment, service, and other types of contracts. Assisting in the negotiation of contracts with potential vendors. Negotiating and drafting content acquisition, licensing and distribution agreements. Handling various commercial and other transactional matters as required by legal group. Monitoring legal issues/needs of ongoing ventures and relationships. Rendering general advice to programming department and other departments on various agreements and structuring issues. Preparing corporate documents necessary for dissolutions and internal mergers. Managing contract content and contract database to ensure proper legal contract templates are compliant with local country laws. Anticipating and mitigating potential legal problems within the organization as they pertain to programming and rights issues, and other commercial issues involving the Company's business partners, vendors, and suppliers. Coordinating and administering closing packages with appropriate sales and finance team members Work in collaboration with other in-house attorneys and outside counsel. Working with HR team on employment related matters and inquires. Other duties as assigned.
Qualification and Experience
The candidate should preferably have Bachelor's Degree. Should have 0-3 years' experience in a law firm or corporate legal department handling transactional matters. Previous content production, distribution and/or licensing experience is preferred. Exceptional drafting, negotiation and organizational skill is essential. Experience preferred in one or more of the following areas: intellectual property or information technology is essential. Extensive working knowledge of contractual and compliance laws and regulations is essential.
