Job Overview: A law firm in Palo Alto, CA, is seeking a Mid-Level Private Equity Associate Attorney with substantial experience advising private equity firms and their portfolio companies. The ideal candidate will handle complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters.

Job Duties:

• Advise private equity firms and portfolio companies on complex transactions, including mergers and acquisitions, leveraged buyouts, and equity investments.
• Draft and negotiate transaction documents and agreements.
• Conduct due diligence reviews and provide strategic advice.
• Collaborate with partners and senior associates on legal matters.
• Manage junior associates and legal assistants on transactional work.
• Research legal issues and provide innovative solutions.
• Maintain client relationships and participate in client meetings.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to practice law in California.
• Minimum 3 years of experience advising on private equity transactions.
• Experience with AmLaw 100 firms or SEC practice preferred.
• Strong analytical and writing skills with attention to detail.
• Excellent organizational and time management skills.
• Ability to work independently and as part of a team.
• Demonstrated oral and written communication skills.
• Proven research and problem-solving abilities.
• Conceptual thinking and ability to influence others.
• Effective management and leadership skills.
