Job Overview: A prestigious law firm is seeking a Corporate Public Companies Junior Associate to join its team in San Francisco. This role involves working closely with public companies on a range of legal matters, including capital market transactions, corporate governance, and compliance. The ideal candidate will have 1-3 years of relevant experience and will work in a team-oriented, collaborative environment focused on providing exceptional service to clients, including those in the start-up and venture capital sectors.

Location:

  • San Francisco, CA

Duties:

  • Assist with IPOs and other capital market transactions.
  • Counsel pre-IPO and public companies on corporate governance, disclosure, SEC, and stock exchange reporting and compliance.
  • Work on capital markets transactions for both issuers and underwriters.
  • Provide legal guidance to start-ups and emerging growth companies.
  • Assist in venture capital financings, public offerings, and mergers & acquisitions.
  • Manage client relationships and address day-to-day client needs.

Requirements:

  • 1-3 years of experience in capital market transactions, corporate governance, and compliance.
  • Experience with start-ups and emerging growth companies, venture capital financings, public offerings, and/or mergers & acquisitions is a plus.
  • Team-oriented and collaborative approach.
  • Admitted to practice in California (preferred).

Education:

  • Juris Doctor (JD) from an accredited law school (2021-2023 graduates preferred).

Certifications:

  • Active California bar admission preferred.

Skills:

  • Strong knowledge of corporate governance and capital markets.
  • Excellent client management and relationship-building skills.
  • Ability to work collaboratively in a team-oriented environment.
  • Strong written and verbal communication skills.
