Corporate Paralegal - Governance
The candidate will provide corporate governance and securities support as well as support for other corporate and contractual matters. Will serve in the preparation of materials for meetings of the Board of Directors and its committees, including drafting resolutions and unanimous written consents, minutes, objectives checklists. Administration of third-party electronic portal to distribute meeting and other information to the Board of Directors in a manner that ensures meeting content is delivered error-free and in accord with established timelines. Maintaining minute books, governance document repository and board materials archive. Identification and implementation of process improvements to maximize Board efficiency and effectiveness. Preparation, review and analysis of director and officer questionnaires and preparation of director and officer onboarding and offboarding checklists and training materials. Design and preparation of proxy statement, working with cross-functional team members, including Total Rewards, corporate accounting, corporate communication and outside vendors; maintains backup documentation. Annual meeting of shareholders preparations, including coordination with proxy solicitor, financial printer and other vendors to ensure timely distribution of proxy materials to shareholders. Research and benchmarking on corporate governance matters. Preparation and filing of annual certifications and other reports with the NYSE. Assistance with federal securities law filings (10-Q, 10-K). Management of legal documentation requests from internal and external stakeholders, including internal audit, risk control group, corporate accounting, litigation. Report to a Chief Counsel in the Corporate, Governance and Transactions team of the General Counsel’s Organization.

Qualification and Experience

The candidate should have a Bachelor's degree in related field or equivalent experience. Should have 7+ years of public company corporate paralegal/governance experience. Experience working within a public, Fortune 500 organization in a role that involves cross-departmental interaction essential. Experience with BoardVantage, QDiligence, WDesk, a plus. Strong Microsoft Word, Powerpoint and Excel abilities essential. Experience with Office 365 in general (Outlook, OneDrive, SharePoint, etc.) needed. Excellent communication skills, both written and oral are essential. Strong organization and planning skills are needed. Excellent computer skills needed; willingness to adapt to, and master, changing technology.
