Contracts Attorney The candidate drafts, reviews, negotiates and manages a high volume of medical device related agreements. The scope of contracts includes, pricing agreements, sales agreements, service agreements, supply agreements, GPO and IDN agreements, HCP consulting agreements, confidentiality agreements, and distribution and private label supply agreements. Draft, review and negotiate contracts with a primary focus on supporting the sales and marketing divisions. Provide legal counsel to division presidents, managers and other business leaders covering multiple disciplines (corporate/transactional). Resolve complex legal matters in various practice areas. Assist on legal compliance issues. Review and analyze laws, rules and regulations. Drafting, reviewing and negotiating contracts and ensuring that contracts are executed in compliance with company policy and applicable laws and regulations. Work with relevant stakeholders to resolve issues in various agreements. Provide legal counsel to division presidents, managers and other business leaders covering multiple disciplines (corporate/transactional, employment, dispute resolution, etc.). Research, review and analyze laws, rules and regulations. Develop and implement procedures for contract management and administration in compliance with company policy. Monitor compliance with established procedures and identify areas of concern. Provide status reports on all major contracts to Deputy General Counsel and/or contract owner.
Qualification and Experience
The candidate must have Juris Doctor Degree and 4 - 6 years of legal experience is required to fulfill this role. Significant experience in drafting, reviewing and negotiating contracts is essential. Exceptional verbal, written and interpersonal communication skills are required. Ability to build relationships with internal clients and Legal Department personnel is critical. Experience in medical device or other healthcare industry is preferred. Excellent computer skills and Microsoft Office Applications experience is desired. Both law firm and in-house experience is helpful. Experience with government contracts is helpful. Experience in M&A is a plus.
