Corporate Finance Paralegal The candidate will assist with the due diligence process. Will draft resolutions, closing documents, closing certificates, secretary’s certificates, perfection certificates, reliance letters, schedules and signature packages. Assist with compilation and review of precedent agreements and update the closing checklists. Draft UCC financing, assignment and termination statements and arrange for filing of same. Order and review lien searches, certified charter documents and good standing certificates. Coordinate the execution and, where appropriate, the notarization of closing documents. coordinate the collection of required documents and/or signature pages and compile executed closing documents. Coordinate post-closing activities: follow up to obtain all post-closing items. prepare closing binders and office record. Have working knowledge of preparing and filing formation documents for various business entities, including qualifications, amendments, merger certificates and dissolutions. Interface with corporate service companies to file and retrieve documents from various jurisdictions. and Act as a liaison with corporate service companies to coordinate billing. Draft audit letters. BA/BS degree Required. Must have 5+ years of Corporate Transactional experience. Must have excellent written and oral communication skills, excellent attention to detail, strong organizational skills and ability to multitask. Proficiency with Microsoft Word, Excel and Outlook is required.
