Junior Private Equity Attorney with mergers and acquisitions experience

Palo Alto office of our client seeks junior private equity attorney with 1-2 years of mergers and acquisitions experience. The candidate should have experience drafting entity formation documents, special purpose vehicle agreements (such as operating agreements and limited partnership agreements) and otherwise meeting the day-to-day corporate requirements of private equity fund and portfolio company clients is expected. Must preferably have experience managing and executing diligence and disclosure matters related to purchase and merger agreements, as well as other ancillary transaction documents, and preparing due diligence memorandums as necessary for private equity funding requirements.
