Senior Corporate Paralegal The candidate will manage corporate governance activities for firm's subsidiaries, including drafting and filing incorporation and foreign qualification paperwork, preparing resolutions and meeting minutes, maintaining electronic minute books, overseeing annual reports and compliance filings, and appointing entity officers, directors, and/or managers. Coordinate with the extended legal team and outside counsel to prepare for meetings of firm’s board of directors, including by utilizing firm’s board portal to disseminate materials in advance of meetings. Provide support in developing corporate governance guidelines and processes for all company subsidiaries. Assist with the drafting and review of non-disclosure agreements, SaaS contracts, intercompany agreements, and vendor agreements. Route approved contracts for signature in accordance with firm’s signing authority policy. Oversee the preparation and filing of license applications and other regulatory filings. Provide support to our stock administrator and oversee the management of our cap table. Support deal teams with all phases of strategic transactions, including mergers and acquisitions and debt and equity financing transactions. Provide support for post-acquisition subsidiary integration. Draft and maintain entity organizational structure charts. Provide training, mentoring and education to internal business units regarding substantive areas of corporate law and related company processes. Assist with special projects, as requested.
Qualification and Experience
The candidate must have BA/BS degree from an accredited university. Should have 6-8 years’ corporate transactional paralegal experience in a major law firm, an in-house legal department, or a combination of both. Start-up experience preferred. Notary Public commission preferred; will be required within three months of hire (at firm’s expense). Should have Paralegal certification or an attestation from an active member of the California bar that meets the requirements of California Business & Professions Code Section 6450(c)(3) (Applies to California applicants only). Must have proficiency in the use of electronic signature applications. Should be proactive, entrepreneurial approach to solving problems and developing creative processes. Must have ability to work effectively and collaboratively within a growing legal team and cross-functionally with members at all levels of the organization, including executives, board members and investors. Should have comfort with voicing views independently and respectfully.
