Senior Director, Corporate Counsel, Compliance and Shared Services The candidate will assist in the implementation, training and management of various domestic and international compliance programs including anti-corruption, codes of conduct, document retention, import/export, privacy and data security. Advise global Human Resources offices on day-to-day employment and staffing issues. Support corporate governance particularly of subsidiaries, including subsidiary minute books and global corporate registrations. Involvement in significant corporate transactions, including financing, real estate purchases and leases. Commercial contract drafting, negotiation, review and interpretation. Support the business development function, handling M&A, joint venture and strategic relationship transactions in conjunction with General Counsel, including due diligence matters. Review legal data and advise on appropriate legal action to be taken, providing advice relating to employment law, regulatory matters (e.g. privacy, export compliance), risk management, dispute resolution and contract management issues. Perform work on general corporate legal matters in areas including the drafting of transactional documents and license agreements. Must have Law degree (JD) and a license to practice law in at least one U.S. State plus 7+ years of experience in a corporation and/or law firm handling compliance or regulatory, corporate, commercial and transactiona matters. Experience in contract drafting, review and interpretation: within the distribution industry preferred. Must have excellent verbal and written skills.
