Senior Paralegal
Duties: Assists in the preparation of minutes, resolutions, written consents and officer’s certificates. Supports and assists in preparing 8-Ks and other SEC filings. Monitors written consents and documents circulated for signature. Assists with corporate transactions and related due diligence. Administers Company stock plan. Files and maintains corporate organizational documents and minutes. Manages minute books, legal files and other corporate information, including officer appointments. Prepare required filings for Section 16 officers. Assists in the planning, coordination and execution of Board and committee meetings as well as the annual shareholders meeting. General corporate housekeeping matters including entity formation, entity dissolution, entity foreign qualifications and DBAs and obtaining EINS. Review and administer outside counsel legal invoices. Ensures that legal files and records are maintained in accordance with department requirements and company policies and procedures. Supports litigation discovery and audit-related production requirements. Assists in the oversight and maintenance of contracts. Coordinates/assists with materials needed for board and other meetings, including by uploading Board materials through the Diligent Boardbook platform. Prepares and processes expense reports, codes invoices and maintains files and spreadsheets. Opens, sorts, and distributes incoming mail. Provides assistance with miscellaneous administrative task and special projects, as needed. Administrative duties may include assistance with filing, copying, scanning and file retrieval. Other duties as assigned.

Qualification and Experience

Qualifications: Must have a high school diploma. An associate’s or bachelor’s degree is strongly preferred. Paralegal certificate or equivalent work experience required. 3+ years of experience as a corporate, in-house paralegal. Oil and gas experience preferred. Experience with SEC reporting requirements and EDGAR filing system. Excellent attention to detail. Experience with Section 16 filings. Experience with Diligent Software, MS Excel and Adobe Sign desired Positive and professional demeanor Effective oral and written communications.
