ProfileCorporate Mergers and Acquisitions The candidate will be supporting Corporate M&A team on a broad range of issues related to acquisitions, divestitures, minority investments, and acquisition integrations in an innovative, cost-effective, and timely manner. Will be assisting with legal due diligence, including reviewing and summarizing disclosures schedules and virtual data rooms, conducting lien searches, gathering publicly available information. Gathering and organizing relevant information about businesses to be divested. Creating and maintaining virtual data rooms. Preparing ancillary transaction documents, including disclosure schedules, closing certificates, consents, powers of attorney, etc. Managing preparation, organization, and distribution of signature pages. Preparing and maintain transaction checklists. Coordinating signing and closing logistics. Preparing closing sets. Developing and implementing best practices for acquisitions and divestitures. Serving as resource for broader business and legal teams on M&A process. Supervising assigned support personnel and vendors on specified projects at the direction of attorney. Other duties as assigned.
Qualification and Experience
The candidate should have Paralegal/legal assistant certification from an ABA-approved program. Bachelor’s degree or higher from an accredited university is essential. Must have 2+ years of paralegal experience. 3+ years of paralegal experience is preferred. Prior M&A experience is preferred. Project management experience is preferred. Experience with 3M or other international businesses is preferred. Exceptional attention to detail and organizational skill is preferred. Strong written/oral communication skills. Proficiency in Microsoft Suite (Excel, Word, PowerPoint, etc.) is needed.
