Associate General Counsel - Dever/Front Range Operations Duties: Reporting to the Senior Vice President, Chief Legal Officer, provides legal services primarily to the care sites located within the Range Region and their Foundations and subsidiary staff to ensure timely and efficient legal assistance is provided. Provides legal services, prepares and reviews legal documents, and provides in-service education on legal issues. Deals discreetly with a wide variety of sensitive, confidential information concerning system and care site legal affairs. Will represent multiple hospitals; will be called upon to assist other legal staff and/or facilities as the need arises. Acts as initial contact for Denver/Front Range care sites, staff, outside counsel, and consultants in handling legal problems and questions, and ensures timely and efficient legal services are provided for all Range care sites. Provides legal services and prepares documents as necessary for transactions, including, joint ventures, mergers and acquisitions, and collaborations with other health systems. Provides legal services and prepares contracts and other documents related to physician relationships, including employment agreements, income guarantees, and asset purchase agreements, to ensure compliance with System policies and guidelines. Serves as Secretary to the Front Range Board of Directors. Prepares and reviews a variety of legal documents associated with running acute care hospitals and related partnerships. Provides appropriate in-service education on legal issues, or arranges for such, as requested or needed. Retains and coordinates the timely provision of legal services for projects that require legal consultation. Assists, as requested, in representing Range care sites to courts, government agencies, etc. regarding complex legal problems and/or issues. Assists, as requested, with the identification, investigation and resolution of Affiliate legal compliance issues. Accept and complete assignments to assist other legal staff and/or facilities as the need arises. Provide professional support and coverage for other members of the Legal Department, as requested.
Qualification and Experience
Qualifications: JD Degree. Admission or eligibility for admission to the Colorado State Bar is preferred. Active bar license in at least one state is required. 10+ years of experience in health care law, either in private legal practice or as in‑house counsel to a hospital or health system. Expertise in Stark Law, Anti-Kickback Statute, False Claims Act and related health care regulatory laws. Background in hospital operations preferred. Background in physician relationships required. Expertise and the ability to provide advice and counsel on legal activities related to major business transactions including joint ventures, mergers and acquisitions, and collaborations with other health systems. Working knowledge of federal and state laws and regulations affecting physician relationships (i.e., Medicare fraud & abuse and Stark) and restrictions on the activities of tax-exempt organizations (e.g., private inurement). Highly effective written and verbal communication skills and the ability to relate directly and openly with diverse internal and external constituencies; strong negotiation skills; a committed listener. Collaborative leader who understands servant leadership. Awareness and ability to implement the principles of process improvement. Ability to balance operating requirements with compliance issues. Ability and desire to manage others effectively. Strong commitment to the traditions and values of the Catholic healthcare ministry. Ability to balance business decisions with these traditions and values.
